KenGen Public Infrastructure Bond Offer

The project was an Initial Public Infrastructure Bond Offer where KenGen Kenya is raising Kshs 15 Billion from the Debt market, the Bonds being offered will eventually be traded at the NSE. The project involves design of application forms, formulation of allotment formula and working with the Issuer and Transaction Advisors to ensure the allotment and refunds of payments are done as per CMA and CBK rules.

Image Registrars is contracted as the Receiving Agent and Registrar for the PIBO and subsequently the continuing Bond Registrars. Our PIBO role is to receive all the applications from all the Authorized Placing Agents, process  all applications received, Reconciliation with all the Placing Agents, safe keeping of the application documents, give periodical reports on the progress of the PIBO and finally to perform an allotment of Bonds as specified in the prospectus, preparation of allotment schedules, printing of Bond certificates as well as generation of data in the agreed formats for posting of Bonds in the applicants’ CDS accounts. 

Image Registrars has been able to liaise with CDSC and NSE in the automation of the Bond trading systems at NSE thereby ensuring that the bond holders got their bonds credited to their CDSC accounts.
After the offer Image Registrars was appointed to take up the role of Bond register maintenance from November 2009 where it will be involved in filing of annual returns, statutory returns and Bond certificate immobilization.

IPO
The project was an Initial Public Offering where Government of Kenya was offering 30% of the Company’s shares for sale to the public and subsequently listing these shares at the NSE. The project involved design and processing of application forms, formulation of allotment formula and working with the PSC and Transaction Advisor to ensure the allotment and refunds of payments are done as per CMA rules.

Image Registrars was contracted as the registrar for the IPO and subsequently the continuing shares registrars. Our IPO role was to create a database of all applications, receive and safely keep the application documents, give periodical reports on the progress of the IPO and finally to perform an allotment of shares as specified in the prospectus, preparation of allotment schedules, printing of share certificates as well as generation of data in the agreed formats for posting of shares in the applicants’ CDS accounts. 

Shares register maintenance from May 2006 to date and involvement in filing of annual returns, statutory returns, dividend processing and share certificate immobilization.

Participated in planning and execution of the largest AGM locally, where we were able to automate the attendance management and polling systems.
